TALENT SEARCH WINNER ANNOUNCED: December 22, 2007

  1. TO ENTER: During the Contest Period, visit www.indiemusicstore.com ("Site"), complete an online entry form for the 2007 NEXT SUPER STAR Talent Search ("Contest"), upload your original musical works ("Submissions") on the Site and pay the applicable registration fee. Entrants must follow all instructions and complete the online entry form in its entirety. Only the registered entrant will be considered the entrant eligible to win the Contest, even if others participate in creating the Submissions with the entrant. Instructions will be provided on the Site for uploading the Submissions which will be made available to the public to download in accordance with the rules of the Site.
  2. ELIGIBILITY & LIMITATIONS: Open only to individuals who are 18 years of age or older at the time of entry in the Contest. The following are ineligible to enter or win the Contest: (a) individuals who are under contract with a record label or producer; (b) individuals who are under any other contractual obligations that would limit the individuals' ability to fulfill the reasonable obligations of the contracts contemplated as part of the prizes; (c) employees of Sponsor and its directors, officers, agents, parent companies, affiliates, distributors, subsidiaries, contractors and advertising agencies and members of their immediate families (spouses, parents, children, siblings and their respective spouses) and those living in the same household with any of the foregoing; (d) individuals who are under the age of 18 (as of the date of entry); and (e) individuals who reside in a country in which contests of this nature or any of the terms and conditions of the Official Rules are restricted or prohibited by any Laws. There is no limit on the number of Submissions an eligible person may enter in the Contest. Entrants are responsible for obtaining their own Internet access. Entry forms must be complete and submitted during the Contest Period to be eligible. Entrants who violate the Official Rules or the Terms and Conditions on the Site, tamper with or influence in any way the operation of this Contest, or engage in conduct that is detrimental to the Sponsor are subject to disqualification from the Contest. It is within the sole discretion of Sponsor and its employees to make decisions in connection with this Contest.
  3. SUBMISSIONS. All Submissions registered in the Contest must be original to the entrant, must comply with the Terms and Conditions on the Site, and must not contain any content deemed lewd or offensive in Sponsor's sole discretion. The entrant represents that his/her Submissions will not infringe upon or violate the rights of any individual or entity (including any record label) and agrees to indemnify and hold harmless Sponsor and its employees, directors, officers, agents, parent companies, affiliates, distributors, subsidiaries, contractors and advertising agencies from any claims arising as a result of such Submissions.
  4. DETERMINATION OF WINNER: One winner will be determined from all entrants. Odds of winning depend upon the number of entries received during the Contest Period. Entrants may submit an entry form at any time during the Contest Period. The ten (10) entrants with the highest number of total downloads of their Submissions on the Site between the time of entry and the end of the Contest Period by independent third parties will be identified as finalists by a posting on the Site on December 2, 2007. A panel of seven (7) judges from the music industry will review the Submissions of the finalists and will determine, in the judges' sole discretion, who will be the winner of the Contest. The judges will consider the originality, lyrics and melody of the Submissions and the finalists' overall commercial potential in determining the winner. Sponsor will announce the winner on December 22, 2007 by a posting on the Site and will contact the winner using the information provided in the winner's entry form. If a winner cannot be contacted and does not reply within fourteen (14) days after the first attempt to contact such potential winner, the finalist with the next highest ranking by the judges will be named the winner.
  5. PRIZES: Prizes are non-refundable and non-transferable to any other person. Prizes are not subject to exchange or substitution, except that Sponsor reserves the right to substitute a prize of equal or greater value for any prize. The winner is responsible for all federal, state, local and other taxes on the prizes. All prizes are awarded AS IS and WITHOUT WARRANTY OF ANY KIND, express or implied. The winner will receive:

    The recording contract, artist management contract and publishing contract will be between the winner and the record label, the management company, and the publishing company, respectively. Sponsor will not be privy to such contracts, is not responsible for the terms and conditions of such contracts other than the approximate dollar values stated above and shall not be held liable should any party to such contracts violate the terms and conditions thereof.
  6. WINNER'S REQUIREMENTS: The winner must complete and return to Sponsor an affidavit of eligibility, release of liability, and (where permitted by law) a publicity release within fourteen (14) days after being contacted by Sponsor and before any prize can be awarded. Failure to establish eligibility or failure to complete and sign such releases may result in disqualification and awarding of the prize to an alternate winner. The winner must comply with all Official Rules. Except where prohibited by applicable law, by accepting the prize, the winner consents to the use of his/her name, voice, likeness, and biographical information by Sponsor and its directors, officers, agents, parent companies, affiliates, distributors, subsidiaries, contractors and advertising agencies for advertising and promotional purposes worldwide without limitations and without additional compensation or notification.
  7. AGREEMENT: By entering the Contest, you agree to be bound by the Official Rules and all of Sponsor's decisions, which are final and binding.
  8. LIMITATIONS OF LIABILITY: By entering the Contest, you release and hold harmless the Sponsor (World Music Group Inc) and all of its employees, directors, officers, agents, parent companies, affiliates, distributors, subsidiaries, contractors and advertising agencies from any and all liability for claims, costs, injuries, demands, losses or damages of any kind arising from or in connection with the Contest or any prize, whether under contract, tort (including negligence), warranty or other theory. Sponsor is not responsible for: (a) stolen, lost, illegible, damaged, delayed, incomplete or late entries or prizes; (b) any incorrect or inaccurate information in the Official Rules or in any Contest-related advertisements or other materials, whether such errors are caused by typographical errors, postal errors, or by any technical or human error which may occur in the processing of entries in the Contest; or (c) any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet, at the Site or at any other web site, any combination thereof, or otherwise, including any injury or damage to entrant's or any other person's computer related to or resulting from participation or uploading or downloading any materials in the Contest. If, for any reason, the proper functioning of the Contest is impaired, including tampering, unauthorized intervention, fraud, or any other causes beyond the control of Sponsor that affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest.
  9. DISCLAIMER OF WARRANTIES: SPONSOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN, CONCERNING THIS CONTEST OR ANY PRIZE. ANY IMPLIED WARRANTIES THAT MAY BE IMPOSED BY APPLICABLE LAW ARE LIMITED IN ALL RESPECTS TO THE DURATION OF THE CONTEST. IN NO EVENT WILL SPONSOR, ITS DIRECTORS, OFFICERS, PARENT COMPANIES, SUBSIDIARIES, EMPLOYEES, AGENTS, AFFILIATES OR ANYONE ELSE INVOLVED IN THE CREATION OR OPERATION OF THIS CONTEST BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION, DIRECT OR INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING IN CONNECTION WITH THE CONTEST, ANY SUBMISSIONS, OR ANY PRIZE.
  10. GOVERNING LAW: Texas law governs the operation of this Contest, these Official Rules and all disclaimers made herein, regardless of any state's choice of law principles, with a forum and venue in Dallas County, Texas.
